1. Acceptance of Terms

By accessing and using the NellCode SaaS Cloud Service Platform (the "Platform"), you agree to be bound by these Terms and Conditions. If you do not agree, you must not use the Platform.

2. Description of Service

NellCode provides a multi-tenant SaaS platform that allows micro-enterprises ("Businesses") to create and manage their own online store, products, services, bookings, and customer interactions. The Platform is accessed at nellcode.com.

3. Account Registration

To use the Platform as a Business, you must register by providing accurate information including your business name, email, and password. You are responsible for maintaining the confidentiality of your account credentials.

4. Subscription Plans

• Free Trial: 30 days of free access to the Básico plan. No credit card required.
• Básico Plan: $10 USD / R$55 BRL per month — includes POS, inventory, finances, bookings, digital receipts, online store, and order tracking.
• Premium Plan: $20 USD / R$110 BRL per month — includes all Básico features plus chat with clients, AI Virtual Employee, custom Android APK, push notifications, and advanced reports.

Subscriptions auto-renew monthly. You may cancel at any time; access continues until the end of the current billing period. No prorated refunds for partial months.

5. Data Ownership

Your business data (products, customers, sales, bookings, chat messages) belongs to you. NellCode processes this data solely to provide the Platform services. You may export your data at any time.

6. Acceptable Use

You agree not to use the Platform for any illegal purpose, to distribute malicious content, or to violate any applicable law. NellCode reserves the right to suspend or terminate accounts that violate these terms.

7. APK Distribution (Premium)

Premium Businesses may receive a personalized Android APK published on Google Play under NellCode's developer account. By using this service, you grant NellCode permission to publish and update your app on your behalf.

8. Intellectual Property

The Platform's code, design, and branding belong to NellCode. Your business content, logo, and data belong to you. Neither party acquires rights over the other's intellectual property.

9. Limitation of Liability

NellCode provides the Platform "as is" and shall not be liable for any indirect, incidental, or consequential damages arising from your use of the service. Our total liability shall not exceed the amount you paid in the preceding 12 months.

10. Data Retention

Upon subscription cancellation, your data is retained for 90 days. After that period, data is permanently deleted. Payment and billing records are retained for 5 years as required by law. See our Privacy Policy for details.

11. Modifications

NellCode may update these Terms at any time. We will notify registered users of material changes via email. Continued use of the Platform after changes constitutes acceptance.

12. Governing Law

These Terms are governed by the laws of the jurisdiction where NellCode operates. For Brazilian users, LGPD (Lei nº 13.709/2018) applies. For US users, applicable state laws apply.
